Beazer Homes stockholders approve $2.2B sale to Dream Finders

The stockholders of Beazer Homes overwhelmingly approved the Dream Finders Homes’ pending acquisition of Beazer at a special meeting held earlier this week, moving the deal closer to closing, the companies announced on Thursday.

The stockholder vote is one of the final remaining conditions for the transaction. The parties previously received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, and Dream Finders said it expects to complete the deal on Oct. 20, 2026, using previously disclosed available or committed financing sources.

Under the terms of the all-cash transaction. first announced in August, Dream Finders will acquire Beazer at an enterprise value of approximately $2.2 billion. Beazer shareholders will receive $33.50 in cash for each share of Beazer common stock, implying a purchase price-to-book value multiple of 0.8x.

Beazer is a national homebuilder operating in 15 markets across 13 states. Once the acquisition closes, Dream Finders and Beazer are expected to form what the companies describe as the nation’s sixth-largest homebuilder by volume, with complementary geographic footprints and expanded product offerings.

The combined platform will operate in 26 markets and approximately 520 active communities across the Southeast, Mid-Atlantic, Texas, the West and the Midwest — regions that include many of the country’s highest-demand housing corridors.

This larger footprint will increase the company’s reach across both entry-level and move-up communities, positioning the combined builder to serve a broader buyer base across multiple price points. They also expect to realize purchasing efficiencies and operational scale that could support more competitive pricing and a more streamlined homebuying experience.
